An operating holding company.

We buy, build and hold Main Street businesses.

Midnite acquires durable local businesses and real assets with no plan to sell them. For owners who are not ready for an exit yet, Midnite Advisory brings hands-on business consulting, a network of outside experts and optional capital.

01

A holding company, not a fund.

Midnite owns businesses on its own balance sheet. There is no fund life, no fundraising cycle and no pressure to sell a good company because a clock ran out. When we buy a business we intend to own it for decades.

02

Operators, not financiers.

We install real systems: clean books, pricing that reflects the work, recurring revenue, a general manager and a plan to get the owner out of the truck. The name is the promise. The systems we put in place run around the clock, so the business keeps working while you sleep.

03

Built for the owner who built it.

Most owners want three things: a fair price, their people looked after and the freedom to walk away on their own timeline. We structure every deal around those three.

Two ways to work with Midnite

Partner now. Sell later, or never.

Most owners in their 50s and 60s want out within the next decade. Few have a written exit plan, most have never had the business valued, and the business still runs through them every day. Midnite meets them where they are.

Midnite Advisory

An operating partner for the business you still run.

Midnite consults on strategy, AI and technology, processes and operations. When you need tax, financial or exit planning help, we bring in the right outside professional and stay in the room.

  • Strategy, pricing, recurring revenue, hiring and a monthly operating review
  • AI, technology and process upgrades installed, not just recommended
  • Access to our network: CPAs, financial advisors, benefits specialists, estate and M&A professionals
  • Growth or buyout capital in exchange for a stake, when it fits
How Midnite Advisory works

Midnite Acquisitions

A permanent home for a business you are ready to leave.

We acquire essential service businesses and cash-flowing real assets across the United States, with terms built around what the seller actually needs.

  • HVAC, plumbing and electrical, commercial cleaning, pool and landscape routes
  • Mobile home parks, RV parks, single-facility self storage, express car washes
  • Bookkeeping and CPA practices, P&C insurance agencies
  • Minority stake, majority with rollover, or the whole company
  • Flexible structures: seller financing, earnouts, staged transitions
  • Every company we buy gets the full Midnite consulting program and expert network
  • Your team stays. Your name stays. You choose the pace.
What we look for

How it fits together

Advise. Invest. Acquire.

The advisory work and the acquisitions feed each other. Owners get help first and a buyer they already trust later, if they want one.

01

Advise

An owner engages Midnite Advisory. We work on strategy, technology, processes and operations, and bring in outside tax, financial and exit planning professionals where they are needed. Midnite earns fees, sometimes a small equity stake.

02

Invest

When a client needs growth capital or wants to buy out a partner, Midnite can take a stake. Sometimes that is 5%, sometimes 40%, sometimes the whole company. Where we hold a minority, the owner keeps control. Either way the business keeps the full consulting program and network, and we have a seat at the table and a reason to show up.

03

Acquire

When the owner is ready to step back, Midnite is one option among several. We buy control or the whole company, and if we do, we already know the books, the team and the customers, so the same consulting playbook becomes the integration plan.

Operating principles

The ideas we run on.

Midnite does not have an outside board. Instead, we lean on the principles of operators and investors whose work we study closely.

01

Make the offer so good it feels wrong to say no.

Every deal and every engagement is built from the owner's side of the table first.

02

Boring businesses are beautiful.

Essential, unglamorous, recession-resistant work that will still be needed in twenty years.

After Codie Sanchez
03

Buy back the owner's time.

Systems and a general manager before growth. A business that depends on one person is not yet a business.

After Dan Martell
04

Lead with purpose, and say it plainly.

The people inside an acquired company should be able to explain why Midnite is here in one sentence.

After Jay Shetty
05

Structure beats price.

Seller financing, staged transitions and creative terms often serve a seller better than the highest headline number.

After Pace Morby
06

Optimize for a life, not just a balance sheet.

Permanent ownership means we can afford to think in decades for the owner, the team and ourselves.

Built by people who have sat on the seller's side of the table.

Midnite was founded by an operator who built a professional services firm from a standing start, grew it into a national partnership, and worked through the sale process, earnout and rollover equity from the owner's side. That experience shapes how we advise, how we invest and how we buy.

Around that core is a team of specialists we work with every week: CPAs, financial advisors, benefits specialists, estate attorneys and M&A professionals. And when your business needs its own team, a general manager, a bookkeeper or a second in command, we help you find, hire and onboard them.

Most advice given to Main Street owners comes from people who have never built, run and sold a company. Midnite was started to change that, one durable business at a time.
