Midnite Advisory

You built the business. We help you run it like an asset.

Midnite Advisory is business consulting for owner-run companies with $1 million to $25 million in revenue. Midnite works on your strategy, technology, processes and operations. When you need tax, financial or exit planning help, we bring in the right outside professional and stay in the room.

Who it is for

Owners who are still doing everything themselves, whether an exit is five years away or twenty-five.

You run a profitable service, route, location or real-asset business. You have a good team and a CPA, but you are still the one holding it all together. Some owners come to us planning a sale. Others are early in the build and want to run better now. Either way, nobody has shown you what the business is worth, what is holding the value down or how to get out of the day-to-day without the whole thing wobbling.

Midnite Advisory is for that owner. We work on the business with you: strategy, pricing, systems, people, technology. When a question needs a CPA, a financial advisor or an estate attorney, we bring in one we trust, frame the problem and sit in the meeting. You deal with one partner. The professionals do their own work under their own engagements.

You never have to sell to Midnite or take our capital to work with us. The fee schedule stands on its own.

Not sure whether you need any of this? Take the free Exit Readiness Score. Twelve questions, four minutes, results on screen.

What Midnite does

Business consulting. That is the service.

Midnite sells one thing: hands-on consulting on how the business runs. Everything below is delivered by Midnite directly.

01

Strategy

Delivered by Midnite

Where the business should be in 24 months, what to stop doing and where the margin is hiding.

  • Pricing and offer designMost owner-run businesses are underpriced by 10% to 25% and have never tested it.
  • Recurring revenueMaintenance agreements, memberships and retainers. The single biggest driver of exit value in the trades.
  • Exit readiness reviewWhat the business would sell for today, what is holding the number down and the 24-month plan to fix it. Start with the free self-assessment.
02

AI and technology

Delivered by Midnite

Installed and running, not a slide deck of recommendations. Most owner-run businesses are still on paper or software from the 1990s, which is exactly where the gains are.

  • AI on the phones and in dispatchVoice agents that answer every call, book the job and route the truck.
  • Quoting, billing and follow-upInstant flat-rate quotes, automated invoicing and collections, automated review requests.
  • Modern CRM, scheduling and lead generationOne system of record and always-on local marketing that runs without the owner.
03

Processes and operations

Delivered by Midnite

The systems that get the owner out of dispatch, out of the truck and out of the books, so the business works without them.

  • Documented workflows and rolesWho does what, in writing, so hiring and training stop depending on the owner's memory.
  • Hiring and the general manager layerBuild the bench, promote or recruit a GM, and give them real accountability.
  • KPI dashboard and monthly operating reviewA short list of numbers that matter and a standing meeting to act on them.

Who Midnite brings in

Our network of outside experts.

Midnite does not provide tax, accounting, financial, insurance, legal or exit planning services. For those, Midnite Advisory clients get access to professionals we know and trust. They work for you under their own engagement letters. Midnite makes the introduction, frames the questions and stays in the room.

04

Tax and accounting

Partner CPAs and bookkeepers

Clean monthly books are the precondition for everything else, including a sale. The network covers bookkeeping and monthly close, tax planning and entity structure, and getting three clean years of financials ready for a buyer or banker.

05

Financial planning and benefits

Licensed advisors and insurance professionals

Owner investment and liquidity planning through a registered investment adviser. 401(k), profit sharing and employee benefits plan design. Deferred compensation, phantom equity and stay bonuses for key employees. Key-person and buy-sell funding through licensed insurance professionals.

06

Succession and exit planning

Estate attorneys, CPAs, valuation and M&A professionals

Transfer to an heir, to a trust or to a charity. Sale to a third party, an employee group, an ESOP or, if you choose, to Midnite. The professionals in our network help you compare the paths honestly and build toward the one you pick. A Midnite offer is always an option, never a requirement, and always disclosed.

07

Capital

From Midnite Industries

Some clients need growth capital, want to buy out a partner or would rather pay part of the fee in equity. Midnite Industries can take a stake in exchange for capital or reduced fees. Sometimes that is 5%, sometimes 40%, sometimes the whole company. Where we hold a minority, you keep control. We get a board seat and a stronger reason to show up. If you ever want to sell control or the whole company, we are one option among several, on a valuation formula agreed in writing up front.

Capital is optional. Most Midnite Advisory clients pay a cash fee and own 100% of their business. Every company Midnite invests in or acquires receives the full consulting program and network access described on this page as part of ownership.

Engagements and pricing

Fixed fees, stated up front.

Every engagement starts with the Diagnostic. Most owners move into the Operating Partner engagement from there.

Engagement What you get Fee
Owner Diagnostic

Three-week assessment of strategy, operations, technology, people and exit readiness. A written 24-month plan and introductions to the right outside experts.

$7,500 fixed
Operating Partner

Monthly engagement: operating review, KPI dashboard, AI and systems implementation, process work, expert coordination and a quarterly owner planning session.

$3,500 to $10,000 per month by revenue band, 12-month minimum
Exit Ready

Six to twelve month sprint to get the business ready for a sale or transfer. Midnite runs the operating work; the valuation, tax and legal pieces are handled by the professionals in our network. When a sale is the path, we partner with M&A advisors and negotiate a revenue share with them. It comes out of their standard fee, so you do not pay more by working through us.

$25,000 minimum, or our revenue share from the M&A advisor at close, whichever is greater
Fee for equity

Operating Partner retainer reduced or waived in exchange for a minority stake and a board seat.

Case by case, with a floor fee to cover hard costs

Midnite fees cover consulting and coordination only. Outside professionals (CPAs, attorneys, financial advisors, insurance professionals, plan recordkeepers) bill you directly under their own engagement letters, and their services are not Midnite services.

How we handle the obvious conflict

Midnite Advisory helps you prepare for an exit, and Midnite Industries buys businesses. We think that is a strength, and we treat it as something to disclose rather than hide. Every engagement letter states in writing that Midnite or its affiliates may offer to acquire or invest in your business, that you are free to run a competitive process, that any Midnite offer will come with a recommendation to get an independent valuation, and that we will not use what we learn in the engagement to your disadvantage.

If you never want to hear an offer from Midnite, tell us on day one and you will not.

Start with a conversation

Thirty minutes. No pitch.

Tell us what your business does, roughly how large it is and what you are trying to figure out. We will tell you plainly whether a Diagnostic makes sense.

Everything you share is held in confidence. We reply within two business days.
